Terms & Conditions

a.Any disputes or claim arising out of or relating to this Agreement or breach thereof which shall not be resolved through good faith discussions between the parties hereto shall be referred to the Indian Court to be decided pursuant to the law of India.

b.b. This Agreement shall be binding upon and ensure for the benefit of the successors and permitted assignees of the parties herein and the parties hereto.

c.The Client and the Company hereto have agreed not to disclose any confidential or proprietary information relating to the trade, business, or affairs of either of the parties hereto to any other party hereto including their respective subsidiaries, shareholders, directors, officers, or employees except as may be agreed in writing between the parties provided that for the purposes hereof, information which is generally available to the public or otherwise in the public domain shall not be deemed to be confidential or proprietary information. The provisions of the clause above mentioned shall survive termination of this Agreement.

d.Except to the extent and in the manner specified in this Agreement, any modification or amendment to any of the provisions of this Agreement must be in writing and bear the signature of the parties herein.

e.If any provision of this Agreement is determined by a court of competent jurisdiction to be in violation of any applicable law/s or otherwise invalid or unenforceable neither the legality, validity, or enforceability under the laws of any other competent jurisdiction shall be in any way affected or impaired as a result and new provisions shall be included by the parties as required to give effect to the intention of the parties as contemplated by this Agreement.

f.In this Agreement as the context so allows any reference to a "party” or "parties™ shall mean the parties to this Agreement unless otherwise specified and the use of the singular shall denote the plural and vice versa and the use of one gender shall denote the other.
